Bylaws of the Former McKinney Police Association

 

(as amended March 22, 2011) 

 

ARTICLE I - Name 

 

The name of this organization is the Former McKinney Police Association.  The short name is the FMPA.

  

ARTICLE II - Purpose 

 

The FMPA is a not for profit association.  Its purpose is to provide an opportunity for a continued relationship of present, former and retired employees of the McKinney Police Department   for pleasure, recreation and social enjoyment and the association may arrange or provide continuing education and firearm proficiency opportunities for its members.

  

ARTICLE III - Members

  

Section I:  Persons eligible for membership in the FMPA are 

Members: 

*       Any retired commissioned police officer of the McKinney Police Department.

Any person retired from or was formerly employed by the McKinney Police Department regardless of title or division of service;

*      Any former reserve police officer of the McKinney Police Department; 

 

Associate Members: 

 Any active duty or reserve officer of the McKinney Police Department

Any person who is currently employed by the McKinney Police Department regardless of title or division of service;

The surviving spouse of any person eligible for membership;

 

No individual who has been indicted, convicted, or probated for any felony offense in this state or any other state, or of any offense involving moral turpitude in this state or any other state, is eligible for membership.

 

Section 2.  Each member and the spouse of that member, or the surviving spouse of a deceased member, has one vote on any issue when the Bylaws require a vote of the membership or on any matter which the association’s officers submit to the membership.  Only those members and spouses in attendance at the annual meeting have a vote.  The association’s officers may conduct survey or preference votes of the members by any reasonable means.

 

Section 3.  No applicant or member will be discriminated against on the basis of race, color, or religion.   The terms He, His, She, Her used in this document are gender neutral and may apply to male or female depending upon the office holder.

 

Section 4.  No initiation fee is required of any member.

 

Section 5.  Each member is to pay annual membership dues in an amount set by the Officers of the association but which may not be less than $10.00 per year.  Support for the association is primarily provided by the dues and donations from its members.  No part of the association’s income may accumulate to the personal benefit of any member for reasons and/or expenses not related to the operation and benefit of the association.  Failure to timely pay dues are grounds for removal from membership records.

 

ARTICLE IV - Officers 

 

Section 1.  The required officers of the FMPA are to be a President, Secretary and a Treasurer.  Upon need as determined by the elected officers, one or more Vice Presidents and/or other positions may be created.  The President, Vice President, Secretary or Treasurer is authorized to authenticate any document relevant to the FMPA either jointly or individually.  Any elected officer of the FMPA may, upon need, be added to its bank account to sign checks in payment for lawful expenditures of the FMPA.

 

President’s Duties:  The President presides over the annual meeting, may plan the annual meeting or may appoint one or more members to plan the annual meeting.   He may appoint committees necessary to carry out the purpose of the FMPA.  He may confer with the Secretary relating to membership data and correspondence.  He is responsible to provide, by self or delegation, one or more newsletters, renewal notices, meeting registration forms and other messages to the membership.  He is to provide financial records and receipts and any other information on his expenditures to the Treasurer.

 

Vice President Duties:  The President assigns the Vice-President duties based upon need and proficiency.  The duties may include duties generally assigned to any of the elected officers, new or temporary duties.


 

Secretary’s Duties:  The Secretary maintains membership records either through the use of a bound book or a computer database or both.  He mails out and processes membership applications and renewals.  He is responsible for the printing and distribution of the annual membership directory.  He mails out notices or cause such notices to be published in the newsletter in lieu of mail outs.  He mails out and receives registrations for the annual meeting.  He forwards receipts of money for membership dues, registration fees and donations to the Treasurer for deposit to the FMPA account.  Any of these duties maybe shared with or delegated to other officers.

 

Treasurer’s Duties:  The Treasurer is responsible for financial records of the FMPA.  He maintains proper records in either a bound book or a personal computer or both showing receipts and distributions of FMPA funds.  He reimburses any member or officer for personal funds expended on behalf of the FMPA upon presentation of a proper receipt or invoice.  He is to have adequate cash on hand at the annual meeting to pay for meeting food bills and supplies as the need arises.  He is to make a financial report to the membership at the annual meeting.  When elected he makes arrangements to move the FMPA bank account to a financial institution that will be convenient for him.  He sees that each elected officer who is to have check signing privileges have filed the necessary paperwork and signature cards with the selected financial institution.  He files the annual report with the Internal Revenue Service.  He keeps the elected officers informed of the financial status of the association.  The primary duties of the treasurer may not be delegated.

 

Section 2.  The officers perform the duties described, those inherent with the position, those of parliamentary authority and by these bylaws.  Except for the primary duties of the treasurer, the duties to each position are general and upon need and agreement between the elected officers involved, duties may be shared with or delegated to other elected officers.

 

Section 3.  The officers are elected by nomination from the floor and majority vote at the annual meeting to serve a term of one year or until their successor is elected.  The term of office begins at the conclusion of the annual meeting.  In the event the Secretary or Treasurer or Vice President are unable to complete the term of office, the President consults with other elected officers and appoints a member to fill the unexpired term.  In the event the President is unable to complete the term of office, the other elected officers appoints a member to that unexpired term of office.  Provided there is no immediate need to fill a vacant position, the vacancy may remain open pending the next meeting.

 

Section 4.  No person may hold the office if he is not a member.  The same person cannot hold the office of President or Vice President and Treasurer.  The President or a Vice President may hold the office of Secretary or other created positions other than Treasurer.  The same person may hold the office of Secretary and Treasurer.

 

ARTICLE V - Meetings  

 

Section 1.  The annual meeting date and location is generally determined by a vote at the annual meeting by members in attendance.  In the event no determination is made at the meeting, the date and location and other details may be made by the President or designated meeting planner.  The membership election of officers, receiving annual reports, and conducting other business occurs at the annual meeting.

 

Section 2.  A special meeting may be held upon call of the President or on the written request of any twenty members of the FMPA.  The purpose of the meeting is to be published in the notice.

 

Section 3.  Notice of the annual or special meeting requires notice of at least 15 days.

 

Section 4.  Those in attendance at the annual or special meeting constitute a quorum.

  

ARTICLE VI - Parliamentary Authority   

 

The rules contained in the Modern Edition of Robert’s Rules of Order govern the FMPA in those cases where they are not inconsistent with these bylaws and any special rules of order of the FMPA may adopt.

  

ARTICLE VII - Amendment   

 

These bylaws may be amended at any regular or special meeting of the MPD FMPA by a majority vote of the members in attendance.
