OFFICIAL BY-LAWS
EAST GASTON HIGH SCHOOL BAND BOOSTERS, INCORPORATED
ARTICLE I – Name
This organization shall be known as the “EAST GASTON HIGH SCHOOL BAND BOOSTERS, INCORPORATED”.
ARTICLE II Purpose/Object
1. To assist the Band Director(s) and Band Staff in providing an adequate instrumental program for East Gaston High School.
2. To provide funds for the purchase, maintenance, and care of band uniforms, instruments, music, necessary equipment, travel, and other band needs.
3. To provide chaperones and transportation service when requested by the Band Director(s).
4. To cooperate with the Band Director(s) and Band Staff shall be given particular attention.
5. To leave all executive decisions regarding operation of the bands to the Band Director(s) and Band Staff.
ARTICLE III Membership and Dues
1. Membership in the Band Booster Club shall consist of individuals, organizations, industries, and families who are interested in the promotion of the band and who have paid the existing annual membership fee.
2. Dues shall be determined by the Board of Directors on an annual basis.
ARTICLE IV Meetings
1. The meetings of the East Gaston Band Boosters shall be held monthly throughout the year. The Board of Directors may cancel scheduled meetings or call additional meetings as warranted.
2. Robert's Rules of Order shall be used at all meetings.
3. A quorum shall consist of the members present
ARTICLE V Officers
The officers shall consist of president, vice-president, secretary, and treasurer.
1. The term of office for elected officers shall be for one year beginning on April 1 and continuing through March 31 of the following year. The fiscal year shall be from July 1 through June 30.
2. Election of officers shall take place in March. Nominations from the floor shall be allowed, providing there is previous consent from the nominee. Voting will be by secret ballot and counted by randomly selected band booster members. Voter must be an officer or have a child in the East Gaston High School Marching Band to vote for officers in an election.
3. The Board of Directors shall consist of the President, Vice President, Secretary, Treasurer, East Gaston Band Director(s) and an adult representative from each grade level, 9 – 12.
4. Student band representatives for each grade level 9 – 12 will be assigned by the school Marching Band Director to participate in Board meetings on a school year basis.
5. Vacancies - Should a vacancy occur during the year, the Board of Directors shall appoint someone to fill said vacancy for the remainder of the term.
ARTICLE VI Duties of Officers
Section I - President.
1. To preside at all meetings.
2. To preside at the Board of Directors meetings.
3. To serve as an official member of all committees.
4. To co-sign all expenditure checks.
Section II Vice-President
1. To perform and assist with the duties of the President in the event of the President's inability to serve.
2. To serve on the Board of Directors
Section III Secretary
1. To keep the minutes of all meetings in a permanent book of ledger form. This book shall be the property of the organization shall be available for inspection of members upon request.
2. To keep an accurate record of attendance at all meetings and Board of Directors meetings.
3. To give ample notification of Board of Directors and General meetings.
Section IV Treasurer
1. To be custodian of all sponsored money received from any source.
2. He or she shall make disbursements only as authorized by the East Gaston High School Band Boosters Club, Inc.
3. To keep full and accurate books of account, which shall be the property of the organization and available to the inspection of members upon request.
4. To prepare a written financial statement at each of the three general meetings of the membership and others as requested by the President.
5. To prepare a financial statement as of the close of the fiscal year.
6. The fiscal year will begin January 1st and end December 31st.
7. To prepare and submit account books to the President and Board of Directors, who in turn will inspect and return them thirty (30) days after the end of the fiscal year.
Section V Board of Directors
1. The Board of Directors shall establish an agenda which shall become the first order of business for the meetings.
2. The second order of business shall be to consider any items placed on the agenda by members prior to the beginning of the meeting.
3. The formal actions of the Board of Directors shall appear as an item of business prepared and read by the Secretary as:

4. At the conclusion of the Board of Directors' recommendations and actions thereon, the general meetings will proceed with old and new business from the floor.
ARTICLE VII Committees
1. The Board of Directors shall appoint all members of the standing committees and the number of persons to serve on each committee. The Board of Directors shall determine the duties and responsibilities of each committee.

3. The Nominating Committee shall be elected by the members present at the April meeting and shall consist of one or more members for each committee.
ARTICLE VIII Amendments
These By-Laws shall be amended at any of the three general meetings by a two thirds vote of the members present. Notice shall be given to the membership at least two weeks in advance by phone or in writing.
ARTICLE IX Disbandment
In the event of disbandment of The East Gaston High School Band Boosters', Incorporated, the corporation shall upon dissolution, distribute, and transfer the net assets thereof, after discharge of or provision for the payment of all its lawful liabilities and obligations, directly to the East Gaston High School Band Budget.
ARTICLE X Inurement
No part of the club's earnings shall inure to the benefit of any of its officers, directors, or members, or any other private individual.

Amendment I
The Board of Directors of the EAST GASTON HIGH SCHOOL BAND BOOSTERS, INCORPORATED has the responsibility of placing monies in a growth/savings fund. They shall, at their collective discretion, invest up to 20% of all profits from each of the Booster supported fundraisers. The intended use of these monies is the eventual purchase of band uniforms, major purchases in support of the band, and/or the eventual reduction/elimination of fundraising activities.
This is the 7th day of March 2000.
Amendment II
The EAST GASTON HIGH SCHOOL BAND BOOSTERS, INCORPORATED, in accordance with the standards for organizational exemption under section 501 (c) (3) of the Internal Revenue Code of 1986, hereby declare the following:
A. The organization is organized exclusively for charitable, religious, educational, and /or scientific purposes under section 501 (c) (3) of the Internal Revenue Code.
B. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to, its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purpose set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
C. Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.

Amendment III

Addition to Article V, section 3. Voter must be an officer or have a child in the East Gaston High School Marching Band to vote for officers in an election. Section 4 inserted. Original section 4 changed to section number 5. May 15, 2009.
Amendment V
The nominating Committee shall be elected by the members present at the January meeting and shall consist of five (5) members. This is the 2nd day of October 2003
Amendment VI
Amendment I of the Official By-laws of the East Gaston High School Band Boosters shall hereby be repealed. This is the 2nd day of October 2003
