By-laws

 

WILLS POINT LADIES CLUB BY-LAWS

Amended August 2017

Article I.     NAME

This club shall be known as the Wills Point Ladies Club.

Article II.     OBJECTIVE / MISSION STATEMENT

Ladies uniting in friendship and fellowship to serve our community.

Article III.     OFFICERS/BOARD MEMBERS

Section A.   Its officers shall be President, Vice President, Secretary, and Treasurer

Section B.  Duties of these officers shall be as follows:

             1.)    The President shall preside at all meetings and shall have general supervision over the club.

2.)    The Vice President assumes the duties of the President in her absence and arranges monthly programs and babysitting at the meetings as needed. She also updates the club website and Facebook page. In addition, she submits newspaper articles of monthly meeting notices and any other special events, including but not limited to, photos from monthly meetings and other special events.

3.)    The Secretary keeps record of all meetings (officer and monthly).  Monthly minutes are presented at each regularly scheduled meeting.  She attends to any necessary correspondence, keeps record of Committee lists and attendance and distributes monthly meeting invitations to members and non-members. 

4.)     The Treasurer is to receive, collect and hold all club money.  She shall distribute monies, as provided in the budget, and as allowed by club vote.  She shall notify members of delinquent dues and give a Financial Report at monthly meetings.

SECTION C.  Its Board members shall be President, Vice President, Treasurer, and Secretary.

SECTION D. Duties of the Board members shall be as follows:

          1. They will collectively make executive decisions for the club

ARTICLE IV.     ELECTION OF OFFICERS

SECTION A.  Blank ballots shall be distributed to each member in March.  Members may nominate themselves or others for any office and return the ballots to the Election Committee Chairman.

SECTION B.  The Election Committee shall tabulate nominations, gain consent of those nominated, prepare ballots and govern elections.

SECTION C.  Elections shall be held at the April meeting by written, secret ballot by members present at the meeting.

SECTION D.  New officers shall take office the last meeting of the club year.

SECTION E.  If an officer resigns her office mid-term, the Election Committee shall propose a name to be voted on by the membership to replace the resigning officer.  The resigning officer must call the President, give 30 days’ notice, if possible, and turn over ALL club-related material in their possession no later than 30 days after their notice. 

SECTION F.  One-year term of office for all officers, unless they are re-elected.

SECTION G. Members may only be elected for office after completing one full club year as a member.

ARTICLE V.     BOOKS AND RECORDS

SECTION A.    The President, Secretary and Treasurer will be authorized signers on a single signature account.  When new officers are elected, signatures on the account must be changed no more than 60 days from the announcement of new officers.

SECTION B.    A financial report shall be presented in writing to the President and Secretary and verbally at every regular meeting by the Treasurer.  All books and records of the club may be inspected by any member, or her agent or attorney, for any proper purpose at any reasonable time.


ARTICLE VI.   MEETINGS

Meetings shall be held the third Monday evening of each month, unless otherwise selected for Community scheduled conflicts (August through May).  Special meetings may be held at the discretion of the board.


ARTICLE VII.   GUESTS AND MEMBERSHIP

SECTION A.  GUESTS

Guests are invited by open invitation, either by current members or public advertisement.   

SECTION B.   MEMBERSHIP

Members are required to turn in an updated Member Information Sheet along with signing a new Participation Agreement & Code of Conduct Agreement at the August meeting of each new year.  New members are required to turn in the completed Membership Form, Participation Agreement & Code of Conduct Agreement upon joining the club.  New members may join the club at any time during the year. 

Membership may be terminated at any time by either the request of the member or the club board.  Any dues paid will not be refunded.

SECTION C. FUNDRAISER PARTICIPATION

All members will be required to participate in both major fundraising events during the club year.

ARTICLE VIII.     COMMITTEES

SECTION A.     Standing Committees 

            1.)    Scholarship Committee - Responsible for reviewing all female Wills Point High School                            students' applications for Academic Scholarships. The number and amount of the scholarships will be              determined by funds collected by the club that current year.  The committee will consist of three or                  five members to avoid a tie in voting.

2.)    Election Committee - Responsible for preparing ballots, tabulating nominations, gaining consent of those nominated and governing the elections.  The committee will consist of a minimum of two members.

SECTION B.     Committee Responsibilities

             1.)    Committee Chair will be a club officer

             2.)    Participation in standing committees will be strictly voluntary.

             3.)    Committees shall meet at a time and place set by the Committee Chairman.

SECTION C.     Special Committees may be created to carry out special projects authorized by membership.

ARTICLE IX.    DUES

The annual dues shall be $20.00 to be paid at the first business meeting of the year.  Anyone joining after the first business meeting will be subject to the same $20.00 fee.

ARTICLE X.     AMENDMENTS

The by-laws may be amended at any meeting of the club by a majority vote of the members present.  Proposed changes in the by-laws will be presented and voted on at either the next regular club meeting or through the Wills Point Ladies Club Website in a private poll.

The entire by-laws should be reviewed every two years (or sooner if deemed necessary) by the newly-elected officers prior to the August meeting and any necessary or recommended changes shall be presented to the members at the August meeting and then voted on at the September meeting.
