Articles of Incorporation

LAKE PASADENA ESTATES NEIGHBORHOOD ASSOCIATION, A FLORIDA NON-PROFIT CORPORATION

The undersigned persons, acting as incorporators of a corporation not-for-profit under the Florida not-for-profit corporation act, as set forth in Chapter 617 of the Florida Statutes, adopt the following Articles of Incorporation for such corporation:

ARTICLE I

Name

The name of this corporation is LAKE PASADENA ESTATES NEIGHBORHOOD ASSOCIATION, A FLORIDA NON-PROFIT CORPORATION

 

ARTICLE II

Initial Principal Office, Mailing Address and Principal Place of Business

The street address of the initial principal office and initial principal place of business and the mailing address of the corporation shall be 6301 Dartmouth Avenue North, St. Petersburg, Florida 33710. The email address is 33jeffsmith@gmail.com.

ARTICLE III

Object and Purpose

The corporation is organized exclusively for charitable, educational, religious or scientific purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1954, as amended (the " Code), more specifically:

  • of a group of residents or property owners who advocate for or organize activities within the defined neighborhood. The neighborhood association is for the purpose of promoting a better neighborhood and community through group action. Lake Pasadena Estates is located in St. Petersburg, Florida and is bounded on the north by Fifth Avenue North, on the south by First Avenue North, on the east by 58th Street North, and on the west by 66th Street North.
  • No part of the net earnings of the corporation shall inure to the benefit of any member,officer,directororincorporatorofthecorporation,butthecorporationshall beauthorizedandempoweredtopayreasonablecompensationforservicesrendered andtomakepaymentsanddistributionsinfurtheranceofitspurposes.Nosubstantial part of the activities of the corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation (except to the extent permitted by the Code), and the corporation shall not participate in or intervene in (including the publication or distribution of statement) any political campaign on behalf of any candidate for publicoffice.
  • Notwithstanding any other provisions of the Articles of Incorporation, the corporation shall have the powers to carry out any and all activities in furtherance of any purpose for which the corporation may be organized, except to the extent that any power or purpose would not be permitted to be carried on:
  1. by an organization exempt from Federal income taxation under Section 501(c) of the Code or the corresponding provision of any future Federal income tax law, by reason of being described in Section 501(c)(3) of theCode;

ARTICLE IV
Membership

An active member is an adult aged 18 or over, who resides or owns property within the boundaries of Lake Pasadena Estates, and whose dues are currently paid, and who, therefore, has the right to vote on all matters that come before the association and to hold office. An associate member is an adult aged 18 or over, who resides or owns property within the boundaries of Lake Pasadena estates, and whose dues are not currently paid, and who, therefore, does not have the right to vote on all matters that come before the association or hold office.

From time to time matters, come before the association with the potential to directly affect every resident of the neighborhood. In such cases, the Board of Directors by a majority vote may declare a vote open to all adults residing in the neighborhood, regardless of association membership, and whenever practical shall publicize the open vote. There shall be one voting resident per domicile.

ARTICLE V

Term of Existence This corporation shall have perpetual existence.

ARTICLE VII

Manner in Which Directors are Elected

Directors of the corporation shall be elected as provided for in the Bylaws.

ARTICLE VIII

Bylaws

The members of the corporation shall have the right to make and adopt such Bylaws as they shall deem proper and advisable, and they may be amended, altered, or repealed by the members in accordance with the provision in the Bylaws, as adopted.

ARTICLE IX

Amendments to Articles of Incorporation

The Articles of Incorporation may be amended, altered, changed or repealed in the manner now or hereafter prescribed by the Statutes of the State of Florida, and in accordance with the Bylaws of the corporation, and all rights conferred upon officers, directors and members herein granted are subject to this reservation.

ARTICLE XIII

In Event of Dissolution

Upon the dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government or to a state or local government for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the corporation is then located , exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.
