VILLAGE at APACHE WELLS
ANNUAL MEETING PRELIMINARY MINUTES
FEBRUARY 16, 2021

1. The meeting was called to order at 6:08 p.m. MST by Hayward.
2. Board members present included Martin Hayward, Jean Mills, Steve
   Patton, Roger Borgwardt and Sheryl Brown as well as interim manager
   Donna Honeyman and new manager, Cheri Maniz.
3. A quorum was established.
4. Proof of notice of the annual meeting was acknowledged.
5. It was moved by Slezak {A-l} and seconded by N. Mills {1032} to accept
   the minutes from February 18, 2020, which owners had received in their
   packets. Motion passed.
6. President Hayward welcomed owners and asked for a moment of silence
   in remembrance of our deceased members. He thanked the board
   members for their efforts this past year. In addressing 2021 plans,
   Hayward noted we had received a check from Travelers insurance for roof
   storm damage which will cut our expenses for reroofing Phase 1 from
   $132,000 to $24,000. The board is also planning to paint both Phase 2 and
   the parging in Phase 4. He noted the definite and positive changes in the
   village in the last few months.

G. Sheryl Brown, treasurer, discussed the materials in the owner's packet.

We added 15 new owners this year and their transfer fees contributed to
a growth in our income. Lower expenses were noted for maintenance,
repairs and utilities.' We have about $304,000 in our reserve account.

8. Owners Speak: The board clarified for Slezak, A-l, that the search

committee was for the selection of our new manager. Pasula, #37, said
he would have preferred to have voted on individual items in the Bylaws
rather than on the package as a whole. Brown clarified the difference
between reimbursement for HOA-related expenses {allowed} vs
compensation {not allowed}.
