SPECIAL BOARD MEETING MINUTES

NOVEMBER 30, 2021

 

  1. The meeting was called to order at 8:27 MST by Borgwardt.
  2. Proof of meeting notice was acknowledged. Present: Borgwardt, Brown, Patton, Mills, Maniz, Hain and Coughlin.
  3. It was moved by Brown and seconded by Patton to accept the minutes from November 9, 2021. Motion passed.
  4. Owner Concerns: none
  5. Brown, Treasurer. The focus of today’s meeting is to address budget issues for our 2022 budget proposal. For board review, she presented comprehensive handouts including:
  1. A Word document containing some of the assumptions she made when preparing the budget with comments on most of the expense categories where there has been a significant change (up or down) from last year.
  2.  An Excel spreadsheet showing all income/expense categories by month with projected totals for 2022 along with a total column for 2021 for comparison. A thorough discussion of each category led to suggested changes in the proposal. Mills was asked to contact our attorney Dan Curtis for an estimate to update the CC&R’s and Bylaws. Recommendations to HOA boards is that this be done every 10 years. Our CC&R’s were last updated in 2006.
  3. A PowerPoint slide set of capital projects which was pulled from annual meeting presentations from 2016 through 2021 showed how the board has responded to HOA needs.
  1. Capital Reserve Projects & Fund Projections
  1. The board will consider doing a special contribution to the reserve 

      fund at the end of this year.

  1.  Capital Projects being considered for 2022: 1) Paying the second installment to Sun Desert Technologies - $41,366. 2) Painting of Phase 3, including the gazebo, pool wall and new conduit on outside of phase 2. $59,296. 3) Replacing the north pool inside surface and the spa. $28, 598. 4) $3500 to begin replacing some trees and shrubs. The board will buy a 5-gallon tree. An owner desiring a larger one would have to pay for it, after getting board approval.  

Patton will get an estimate to have a village map sign made which would be placed to the left of the flagpole and “arrow” signs to be placed at all entrances to indicate the location of the clubhouse.

 It was moved by Patton and seconded by Mills to spend $3000 to purchase new gym equipment. Motion passed.  Jeff Coughlin will oversee the project.                                                                                   

It was moved by Mills and seconded by Patton to approve the regrading project around buildings 2 and 6 to begin next week. Motion passed.

  1. OTA Town Hall meeting will be held in the clubhouse on Saturday, December 11, 2021, at 9:00 am MST. The meeting will also be zoomed.
  2. The next regular board meeting will be December 7, 2021, at 8:30 a.m. MST.
  3. It was moved by Mills and seconded by Patton to adjourn the meeting at 10:17 a.m. MST. Motion passed.
