BOARD MEETING MINUTES

FEBRUARY 13, 2024

 

  1. The meeting was called to order at 8:00 a.m. MST by Borgwardt.

 

  1. Notice of meeting acknowledged. Present: Roger Borgwardt, president, Steve Patton, vice-president, Jean Mills, secretary, Sheryl Brown, treasurer, Jeff Coughlin, director at-large, and Cheri Maiz, manager.                  Guests: #1006Callewaert, #37 Pasula, #2017 Drace.

 

 

  1. It was moved by Brown and seconded by Coughlin to approve the minutes of January 9, 2024. Motion passed.

 

  1. Owner Concerns.                                                                                                                           It was moved by Patton and seconded by Mills to allow #2017 to continue to park her trailer until her construction project is finished in March. Motion  passed.                                                                                                                                          In response to verified health issues for #1006 and acknowledging that this is an owner-to-owner problem, the board will send a letter to #2006 asking the owner to keep her cat in her unit and refrain from burning cinnamon essential oil on her patio.

 

  1. It was moved by Mills and seconded by Coughlin to approve the treasurer’s report. Motion passed. We have earned $4955.76 on our three CDs with BMO.

 

  1. Manager’s Report.                                                                                                                    The board discussed the possibility of a unit foreclosure.                            Units for sale: #64, B-3, and 3034.                                                                                     The board is being proactive regarding the rat issue and is getting four new bids for service.

 

  1. Buildings.                                                                                                                                    Work on the French drain project for buildings 2 and 6 has begun.              Other than for building 2, private shut off valves have been identified in all other buildings.                                                                                                                                             It is not feasible to close the south pool in the summer.                                                  It was moved by Coughlin and seconded by Mills to approve $20,449.32 for three new pool heaters and installation expense. Motion passed.                                                                             

 

  1. Landscape.                                                                                                                                    We have received tree pruning estimates from three different companies. work may be divided among these companies.                                                            More than 170 irrigation leaks have been addressed.                                                We are expecting up to a 60% water rate increase as well as higher rates for other utilities.                                                                                                                                       It costs about $250.00 to buy a decorative rock and $40.00 for a new plant.

 

  1. Committee Report.                                                                                                                  Legal: The Mulcahy Law Firm has provided information on the Corporate Transparency Act, a complex federal law passed in 2021 to track criminal or terrorist money laundering that impacts corporations, including Arizona HOAs/condos. Many professionals do not believe the CTA was intended to apply to HOAs and condos and hope the act will be amended prior to the January 1, 2025, mandatory reporting requirements.                                        The following information must be provided using the government form/link:
  1. Business name.                                                                                                  
  2. Legal names, birthdates, home addresses, and driver’s licenses, state IDs or passport numbers for all board members and any individuals with substantial control over the association.
  3. Any changes, corrections and additions to the filing must occur within 30 days of changes (board elections, board resignations/appointments, changes in management company, etc.)  Noncompliance has the potential for civil and criminal penalties.

The HOA board must be mindful of volunteer liability issues: no electrical    work, cutting down trees, climbing ladders, etc.

  1. Unfinished Business:

Borgwardt will discuss the process to inform homeowners regarding the changes to the CC&Rs and Bylaw and how voting will be done at the Annual Meeting.

 

  1. New Business.                                                                                                                            The Annual Meeting will be February 20, 2024, at 6:00 p.m. MST in the clubhouse.                                                                                                                           The board will schedule a work session to discuss the proposed title company spreadsheet to give to new owners.                                                             Due to the untimely death of Mark Reese, we are searching for a qualified individual to complete are annual audit and file our taxes. Some firms have told us we are too small for them.                                                                                       New pool heaters are being installed.

 

  1. For the Good of the Order.                                                                                                          We have purchased a new Quick Books for $649.00, including a 2-year license.                                                                                                                                  Emotional Support Animal (ESA) documentation is required.                             The board is looking into violations of CC&Rs and Bylaws and will work with individual owners to make corrections.                                                                           Next summer, pruning in Phase IV will be broken into 2 zones.

 

The board went into executive session to discuss a personnel issue from 10:40 to 10:45 a.m. MST.

Returning to the regular meeting, it was moved by Brown and seconded by Coughlin to provide Cheri Maniz two weeks (40 hours) of paid vacation, pending prior board president approval. Motion passed.

  1. Upcoming 2024 board meeting dates: March 12, April 9, and May 14.
  2. It was moved by Brown and seconded by Patton to adjourn at 10:48 a. m. MST.
