Annual Meeting 2020

 

        VILLAGE AT APACHE WELLS

                                  PRELIMINARY ANNUAL BOARD MEETING 

              FEBRUARY 18, 2020

 

  1. The meeting was called to order by Martin Hayward, president, at 7 pm. Board members present were (Hayward, Mills, Hubbs, Brown and Borgwardt as well as property manager Gurule. Guest insurance speakers were Ross Troost of Core Insurance (Travelers) representing the HOA and Pete Evans from State Farm representing homeowners.

 

  1. Proof of knowledge of the meeting was acknowledged by a hand vote.

 

  1. There was a quorum of 69 owners.

 

  1. Minutes from the February 19, 2019, Annual Meeting which were previously provided to owners in their packets were approved without any correction by a hand vote.

 

  1. Martin Hayward asked for a moment of silence in remembrance of members who died this past year.

 

  1. Insurance Presentation.

 

 Mr. Troost explained the HOA coverage of common property. The policy carries a $5000 deductible.  He recommended owners consider buying $10,000 of loss assessment coverage. Also, owners can buy a daily event coverage policy for approximately $50 which would cover a sponsor for up to $1,000,000 in damages.

 

In response to a question, he stated that if, for example, a roof leaked into a unit, the owner should first try to mitigate any loss and then contact the HOA board or property manager. Damages due to poor maintenance would not be covered.

 

Mr. Evans stated that homeowners’ policies are called HO-6 policies.  State Farm does offer loss assessment insurance to cover any gaps. State Farm offers a special events endorsement to protect an event sponsor concerned about liability. 

 

There was a discussion about what exactly is an “event.”  This occurs when an individual or a couple of homeowners sponsor an activity that includes outside people. The need for this endorsement has arisen because an owner sponsored a gathering of non-VAW people in our clubhouse where a guest claims to have suffered an injury and is threatening to sue us.

 

In response to a question from #37, Pasula, regarding having a qualified adjuster examine all roofs for damages following the hailstorm in December and the massive rainstorm in January, Gurule will file this  claim with the HOA insurer and the results will be put on the website and on the bulletin board next to the office door.

 

  1. Sheryl Brown, treasurer, discussed the previously provided information sent in the owners’ packets with a screen projection. The visualization gave owners a clearer picture of our income and expenses. Maintenance and repairs to aging buildings are more difficult to plan for. We are seeing cost savings in water usage due to our new irrigation system and expect more savings from the installation of LED bulbs and the new pool covers. Of the $132,000 we strive to put into our reserve fund, our goal is to spend no more than $100,000 per year. The extra monies will be deposited into the Reserve Fund.                               The 2020 major projects include resurfacing the north pool, new pool covers for both pools and spas, kitchen update, painting of phase 1, and replacing 3 ac units at the clubhouse.                                      It was noted that when a unit is sold, $900 comes to the HOA from the transfer and capital improvement fees.

A monthly snapshot of the VAW-HOA financial operations will be posted on the website.

 

  1. President’s Report: Martin Hayward welcomed all members new and old and any guests. He addressed the completed projects from 2019, the projects for 2020, and the difficulty in planning for expenses for our aging buildings.                                                                                                                  He thanked the current Board members, Roger Borgwardt, Sheryl Brown, and Jean Mills, for all their hard work and especially noted Bill Hubbs who leaves the Board after three years of service.                                        

He welcomed Steve Patton to the Board and thanked Jim Van Alstyne for running for the Board.                                                                                 Hayward also thanked all HOA members who actively work for the betterment of the Village including those who helped with the change to LED lights. He hoped owners appreciate the upkeep and changes that are happening and looks forward to continuing improvement in years to come.

 

  1. Unfinished Business. None

 

  1.  New Business. 

 

Explanation: The TV vote was taken now in order to give the Board adequate time to explore the available options before our current contract expires. Dick Seehafer, #1019, agreed to head the TV Provider Committee.

 

In response to a question from #1012, Thiesen: When the irrigation system was being installed, some lines had not been marked and were cut. Although these particular lines were the responsibility of the HOA,   the Board was not aware of their location. The HOA paid for their repair.

 

Copper Sky will be requested to come out an assess some white patches on the new surface at the North pool.

 

#1038, Weitecki, had an issue with Thorcomm not returning their calls since last summer. Their TV is working at present.

 

#3009, Van Alstyne, alerted owners to the fact that freon gas used in heat pumps may be unavailable and owners might want to check with their repair servicemen about this issue.

 

  1. Voting. Chris Howells, chairman of the Election Committee, named his

 other committee members as Virgil Christianson, Donna Smith, and Dick Seehafer. There were 3 ballots.  

Bylaws: 85 yes, 12 no. Issue did not pass by 2 votes. 2006 Bylaws remain in effect.

 

TV: 85 votes for the HOA to continue providing this service.

33 votes for owners to provide their own service. The HOA will continue to provide TV service.

 

Board Election: one position – Steve Patton elected.

Steve Patton – 90 votes

Jim Van Alstyne – 21 votes

Amy Jorgenson – 6 votes

 In response to #1040, Mootz, question, the Bylaws will be voted on again at next year’s annual meeting.

The meeting was adjourned at 8:40 pm.

                                  Organizational Meeting Minutes

         February 18, 2020The organizational meeting of the new HOA Board took place following the Annual Meeting at 9 pm. Officers selected were as follows:

    President – Martin Hayward

    Vice-President – Roger Borgwardt

    Secretary – Jean Mills

    Treasurer – Sheryl Brown

    Director-at-Large – Steve Patton
